Terms & Conditions

1. Introduction

These Terms and Conditions ("Terms") govern the provision of software development, UI/UX design, technical support, and generative AI consulting services (collectively, "Services") by Atharv Kotekar ("Service Provider", "I", "me") to clients ("Client", "you"). By engaging my Services or making a payment, you agree to be bound by these Terms.

2. Scope of Services

The specific scope, deliverables, timeline, and price for each engagement will be agreed upon in writing (email or a signed project brief) before any work commences. Any additional requirements beyond the agreed scope constitute a change request and may incur additional charges.

I reserve the right to decline any project at my sole discretion.

3. Payment Terms

• A non-refundable advance of 30% to 50% of the total project value is required before work begins, unless otherwise agreed in writing.
• The remaining balance is due upon project completion and before final deliverables are handed over.
• For ongoing retainer engagements, fees are payable monthly in advance.
• Invoices not paid within 14 days of the due date may attract a late payment fee of 2% per month on the outstanding amount.
• All prices are stated in US Dollars (USD) unless specifically agreed otherwise. International clients are responsible for any applicable currency conversion fees or bank charges.

4. Intellectual Property

Upon receipt of full and final payment, the Client will own all intellectual property rights in the final deliverables created specifically for them under the project, excluding any pre-existing tools, frameworks, libraries, or proprietary code owned by the Service Provider.

The Service Provider retains the right to display the completed work in a professional portfolio unless the Client requests confidentiality in writing.

5. Client Responsibilities

The Client agrees to:

• Provide all required materials, content, credentials, and feedback in a timely manner.
• Designate a single point of contact for the project.
• Review and provide approval or revision requests within five (5) working days of receiving deliverables. Silence beyond this period shall be deemed as approval.

6. Revisions

Each project includes a reasonable number of revision rounds as agreed at the start of the engagement. Additional revisions beyond this scope will be billed at an hourly rate communicated to the Client in advance.

7. Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, or sensitive business information disclosed during the engagement, for a period of two (2) years following project completion.

8. Limitation of Liability

The Service Provider's total liability to the Client for any claim arising out of or relating to the Services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. The Service Provider shall not be liable for any indirect, incidental, consequential, or punitive damages.

9. Termination

Either party may terminate an engagement with fourteen (14) days' written notice. In the event of termination, the Client shall pay for all work completed up to the termination date. Refunds for pre-paid services not yet rendered will be processed in accordance with the Refund Policy.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Kolhapur, Maharashtra, India.

11. Amendments

These Terms may be updated from time to time. The current version will always be published on this page with the updated date. Continued engagement with the Service Provider after an update constitutes acceptance of the revised Terms.
